Definitions


In this License, the following terms have the meanings given below.

"We," "us," and "KitchenSink4AI" mean Alvut Consulting, LLC, a Maryland, United States company, trading as KitchenSink4AI.

"You" and "the Licensee" mean the legal entity named at the time of purchase.

"the Software" means the KitchenSink4AI Business tools identified in the purchase.

"the License" means the rights granted to you under this document.

"the License File" means the file you receive and install in order to exercise those rights.

"the Receipt" means Paddle's record of a payment, and nothing more. The Receipt does not grant any right to use the Software.

"a User" has the meaning given in Clause 2.

"the Band" means the named range of Users to which one annual price applies.

"the Term" means the twelve-month period a charge covers.

"the Renewal Date" means the day on which the next Term begins and the renewal charge is made.

"the Grace Period" means the twenty-one days following a failed renewal charge, described in Clause 6.

"a Workflow Pack" means an optional add-on that you purchased separately from the core Software.

"Founders Pricing" means the pricing described in Clause 8.

"the Portal" means the license portal at get.kitchensink4.ai/my-license/.

"Paddle" means Paddle.com, the merchant of record for this purchase.

Grant


We grant you a non-exclusive, non-transferable license to install and run the Software, on any number of devices belonging to your organization, for the number of Users within the Band you certify under Clause 7.

A User is a person who runs the Software through an AI assistant on that person's own account. A person who only receives a document that the Software produced is not a User, unless that person accesses that document or product through the Software, at which point that person becomes a User.

A contractor or a member of staff counts as a User only while acting as staff of your organization. A contractor who is not acting for your organization must hold a license of their own, or a license held by their own employer, before using the Software.

One autonomous agent instance that uses the Software is one User. Sub-agents spawned inside a single assistant session are the same single User as the session that spawned them. One dedicated API endpoint, such as a single help desk agent operating on a public website, is one User. A person who runs several assistant sessions is one User. An unattended agent that runs on a schedule is one User, however often it runs.

The License is issued to the legal entity you name at purchase, and the installer verifies that name before the Software runs.

This License is for your own use, including use by the IT providers and advisers acting on your behalf. Publishing the License or the License File, or passing either to another organization for that organization's use, is a breach of this License.

Subscription


The License is a yearly subscription that renews automatically. Paddle, as merchant of record, charges the renewal to the payment method it holds on file for you.

We send a reminder thirty days before each Renewal Date and a second reminder seven days before that date. Each reminder names the Renewal Date and the amount of the charge it precedes.

You may cancel at any time through the Portal. Cancellation requires no telephone call and no email, and it stops future charges at the end of the current Term.

Each renewal charge is made at the price in effect on the Renewal Date. We give at least thirty days' written notice before any price change applies to a renewal.

What the subscription covers


While the Subscription is active, it includes the following.

(a) Every update we publish to the Business editions.

(b) Limited support by email.

(c) Re-downloads of the Software from the Portal.

(d) The Workflow Packs you purchased.

Updates arrive through a signed release channel and install only when your organization takes an action to install them.

Limited support excludes deployment services, a help desk, and corporate IT support.

Clause 6 states which of these continue during a Grace Period.

When the subscription ends


If you cancel, everything you have paid for continues to the last day of the current Term.

The Subscription ends in one of two ways: by your cancellation, taking effect at the end of the current Term, or by an unpaid renewal once the Grace Period described in Clause 6 has run its full twenty-one days without payment.

Installed Office and browser tools keep working, with no time limit, on the devices where they are already installed. When the Subscription ends, the following stop: updates to the Software, limited support, re-downloads from the Portal, and the right to use any Workflow Pack.

Portal re-downloads stop on the last day of the Term, and no grace period applies to them.

The Software enforces the end of the right to use a Workflow Pack. The core tools are never disabled. The enforcement works as follows. When you use a Workflow Pack, the Software reads the coverage end date recorded in your License File. After the Grace Period has run, the Software confirms your Subscription status with the KitchenSink4AI server whenever the machine running it is online. If the Subscription has ended, the Workflow Pack does not run. If the machine is offline, the Software relies on its most recent confirmation of your Subscription status: a Workflow Pack continues to run while that confirmation remains valid, and stops only after the Software has been unable to confirm the status for an extended period.

A renewed Subscription requires no action from you. The Software retrieves the renewed License automatically the next time the machine is online, and the current License File remains available in the Portal for reinstallation at any time.

Founders status, described in Clause 8, ends when the Subscription ends.

Grace Period


If a renewal charge does not succeed on the Renewal Date, a Grace Period of twenty-one days begins from that failed charge.

Updates to the Software stop on the day of the failed charge and resume as soon as a payment succeeds.

During the Grace Period, the following continue: the Subscription itself, Founders status where it applies, access to your Workflow Packs, and limited support. Portal re-downloads are not part of the Grace Period, because they stopped on the last day of the Term that preceded it.

A payment made within the Grace Period continues the Term from the original Renewal Date, without any gap in coverage, and is not treated as a gap for the purposes of Founders Pricing under Clause 8. Updates and Workflow Pack access resume together as soon as that payment succeeds.

If no payment succeeds within the twenty-one days, the Subscription ends at the close of the Grace Period. From that point, you are a new customer for billing and pricing purposes, you are not eligible for any new-customer discount, and the installed core tools continue to run with no time limit.

User band


At purchase, you certify the Band that contains your User count, as defined in Clause 2. That certification carries forward automatically at each renewal, and you need not repeat it. Re-certification is required only when your User count moves you into a different Band.

If your organization grows past its certified Band, you may not install the Software on additional devices until you purchase a higher Band. Growth beyond the highest Band available through self-checkout is not self-service. A license at that scale is purchased by contacting [email protected].

A mid-term increase to a higher Band is billed as follows. The unused portion of the amount you have already paid is credited toward the higher Band's price, prorated by the number of days remaining in the current Term. The Renewal Date does not move as a result of a mid-term increase. The renewal following an increase is charged at the higher Band's price.

A decrease to a lower Band takes effect at your next renewal.

We may ask you to confirm your User count in writing, and you will provide that confirmation within thirty days of the request. We do not audit your systems.

Founders licenses


Founders Pricing is offered in each Band sold through self-checkout above Solo while the Founders window for that Band is open. Whether the window is open is shown on the buy page at the time of purchase, and we may close a Band's window at any time for purchases not yet completed. Solo is a launch price and is never a Founders place. Enterprise carries no Founders Pricing and no Founders benefit unless the Enterprise agreement states otherwise.

Founders status attaches to your organization, not to a particular Band. An upgrade or a downgrade keeps your Founders status, at the Founders price of the Band you move to, and does not use a second Founders place. A Solo Launch customer who upgrades to a higher Band takes a Founders place in that Band if one remains open.

Founders Pricing is held for as long as your Subscription stays active without a gap. The Grace Period described in Clause 6 is not treated as a gap. Founders Pricing covers the core suite and the workflows applicable to the launch bundle.

A Founders organization keeps the right to use the launch workflows only while its Subscription is active, including during the Grace Period. A Founders License that lapses beyond the Grace Period renews at the standard price in effect on the date of renewal.

Solo Launch pricing


A Solo License purchased at the launch price is charged that price for its first Term only. It renews at the standard Solo price in effect on the Renewal Date. A license purchased at a launch price is not a Founders License. Founders Pricing is obtained only by purchasing a Band above Solo, as described in Clause 8, including by an upgrade under Clause 7.

Fees and taxes


All prices stated in connection with the Software are exclusive of tax. Where sales tax or value added tax applies, it is added to the price at checkout, and Paddle, as merchant of record, collects and remits that tax. A business purchaser that supplies a valid tax identification number at checkout is charged the net amount, where the applicable law permits.

Refunds


We commit that every charge, whether for a first purchase or for a renewal, is refundable within fourteen days of that charge, with no reason required. Send a refund request to [email protected].

A refund of a first purchase has four effects: the License ends, the Subscription is cancelled, the download links issued to you stop working, and you must remove the Software from your systems.

A refund of a renewal charge reverts your coverage to the end date of the Term that preceded the refunded renewal, a date we state in our confirmation of the refund. The preceding Term remains paid, and the Software you installed under it continues to run. Versions of the Software released after that stated date are not covered by the refunded Term. The Subscription is cancelled at the close of the preceding Term, so no further charge follows unless you subscribe again.

Restrictions


Except as this License expressly permits, you must not do any of the following, and you must not permit anyone else to do them.

(a) Redistribute, sell, rent, lease, lend, sublicense, or otherwise transfer the Software or the License File to any person outside your organization.

(b) Publish the License File, or make the Software available to a third party as a hosted or managed service, a service bureau, or a shared installation.

(c) Circumvent, disable, or interfere with license verification, the Workflow Pack enforcement described in Clause 5, or any other technical control in the Software.

(d) Reverse engineer, decompile, or disassemble the Software, except to the extent that applicable law expressly permits it despite this restriction.

(e) Modify the Software or create derivative works of it, except through the configuration and workflow features the Software itself provides.

(f) Remove, obscure, or alter any license notice, trademark, or attribution included with the Software.

(g) Use the Software, or any knowledge of its internal workings gained through use, to build, train, or improve a product that competes with it.

(h) Use the Software in breach of applicable export control or sanctions law, or permit its use by a person or in a territory that such law prohibits.

(i) Misrepresent your User count or your Band under Clause 7.

Third-party components included in the Software bundle carry their own notices, which are included with the bundle and apply in addition to this License. The Community editions of each tool are licensed separately under the open-source license published with each tool, and this License does not govern them.

As is


The Software is provided as is, with no warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and freedom from error or interruption.

We give no warranty and no guarantee for any MCP client that we have not verified. The Software runs on Windows. Some servers within the Software may run on macOS, without guarantee.

The Software executes the instructions sent to it by the AI application you choose. You select that application, its provider, its prompts, and its permissions, and you control what it is allowed to do. We are not a party to the behavior of that application, and we do not review or control the instructions it sends to the Software. You are responsible for keeping backups of your documents and data and for reviewing the changes the Software makes at your assistant's direction before you rely on them.

Liability


We exclude liability for indirect, incidental, special, consequential, and punitive damages, and for lost data, lost profits, and business interruption, to the fullest extent the law allows.

Our aggregate liability arising from this License is limited to the amount you paid us in the twelve months preceding the claim.

Termination for breach


We may terminate this License if you breach it and do not cure that breach within thirty days of written notice. Notice by email is sufficient. On termination for breach, you must remove the Software from your systems.

Ending a Subscription by cancellation or by non-payment is not termination for breach. Clause 5 and Clause 6 govern those cases instead.

Feedback


We may use any feedback you give us without restriction and without any obligation to you. Feedback grants us no rights beyond that use and creates no ownership claim in your favor. You are under no obligation to send us feedback.

Your data and the Software's network activity


Your documents and data stay on your own machines. The Software sends nothing about your documents to us or to anyone else.

License verification for the core tools takes place offline. Verification of Workflow Pack use follows Clause 5: after the Grace Period, the Software confirms your Subscription status with our server when the machine running it is online, and, when the machine is offline, relies on its most recent confirmation for a limited period as Clause 5 describes.

What the AI assistant you use does with results the Software returns is governed by that assistant's own settings and terms, not by this License.

Once a day, where your organization's update policy allows it, the Software asks our release server whether a newer version exists. That request carries the product name and the installed version, and no identifier of you or your organization.

When a member of your IT staff downloads the bundle through our scripted process, that download presents the purchase record, which identifies your organization.

KitchenSink4Web, the browser tool, may download a public tokenizer table when one is not already cached on the machine running it.

Changes to these terms


We may update these terms for future renewals, on at least thirty days' notice by email. The terms in force on the day of a charge govern the Term that charge buys. If you do not accept a change, cancel before the next Renewal Date, and Clause 5 then applies.

Support


Support is available by email at [email protected] while your Subscription is active. During the launch window, our target is to respond within three business days, Korea Standard Time. A response is not a commitment to resolve your issue within that time.

Support under this License is limited support. It excludes deployment services, a help desk, and corporate IT support.

Governing law


This License is governed by the law of the State of Maryland, United States, without regard to its conflict-of-law rules. The state and federal courts located in Maryland have jurisdiction over any dispute arising from this License. Paddle's own terms govern the payment transaction separately from this License.
